Affiliate means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

Country refers to United Kingdom unless otherwise stated.
Service refers to any intangible business offerings delineated on the Website.
Products refers to any tangible items procured on behalf of the Client.
Request means any request placed by a client to Shaped that are not otherwise stated under Services and Products
Terms and Conditions (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the fCompany regarding the use of the Service. This Terms and Conditions agreement as been created with the help of Terms and Conditions Generator.
Website refers to Shaped, accessible from http://shaped.com
You (“the Client”) means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
Payment method refers to the methods employed to submit monies rendered for the Services and/or Products provided to you (“the client”)
Specialist refers to a Specialist engaged by Shaped on behalf of and as an agent for a client to provide Services and/or Products to that client.

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.

Services

Shaped shall supply the full range of Services as stated on Our Website, provided that Shaped shall not be required to provide or facilitate the supply of Products and/or Services that it deems at its sole discretion may violate applicable laws, standards and/or regulations or may offend taste and decency in the relevant jurisdiction.

Shaped shall use its reasonable endeavours to meet any performance dates specified, but any such dates shall be estimates only, otherwise stated and/or agreed upon (i.e. express Service options), and time shall not be of the essence for performance of any Services.

Shaped shall have the right to make any changes to the Services which are necessary to comply with any applicable law or safety requirement, or which do not materially affect the nature or quality of the Services, and Shaped shall notify the client in any such event.

Services will be provided in English

You acknowledge that Shaped reserves the right to accept commissions upon the supply of Products or performance of Services by any Specialist.

Telephone calls to Shaped may be monitored or recorded for training and quality control purposes.

Shaped shall provide the Services using reasonable care and skill and, as far as reasonably possible, in accordance with your Requests and reasonable instructions from time to time.

All Services are subject to a 24-hour cancellation policy. Any services cancelled exactly 24 hours or less before the scheduled appointment are subject to a cancellation fee.

If the Client is not at the specified location to receive any ordered Products delivered by a Shaped Professional and/or Specialist, the Client may incur further charges for subsequent attempts to re-deliver or re-schedule.

You (“the Client”) undertake that all details you provide to us for the purpose of booking, ordering or purchasing Products or Services are correct, that the Payment Method you use from time to time is your own and that you have sufficient funds to cover the cost of the Product or Service.

If Shaped's performance of any of its obligations under these Conditions is prevented or delayed by any act or omission by the Client or failure by the Client to perform any relevant obligation (Client Default):

(a) Shaped shall without limiting its other rights or remedies have the right to suspend performance of the Services until the Client remedies the Client Default, and to rely on the Client Default to relieve it from the performance of any of its obligations to the extent the Client Default prevents or delays Shaped's performance of any of its obligations;

(b) Shaped shall not be liable for any costs or losses sustained or incurred by the Client arising directly or indirectly from Shaped's failure or delay to perform any of its obligations as set out in this clause; and

(c) the Client shall reimburse Shaped on written demand for any costs or losses sustained or incurred by Shaped arising directly or indirectly from the Client Default.

The aforementioned clauses pertaining to Service refer to the Services below, unless otherwise specified:

Shaped Supply:

▪ There is a 20% sourcing fee placed on any items procured for the client

▪ All fees must be paid in full to guarantee completed Services and/or Products

▪ Once purchased, Services and/or Products are non-refundable except for in cases otherwise specified in these

▪ Terms, which are subject to review.

▪ As stated above, if Shaped’s Services are delayed by the Client, Shaped is not responsible for any inability to procure certain Products should they no longer be in stock

Shaped Wardrobe Fit:

▪ The Client must pay 50% of the deposit to retain this Service before any Services are rendered.

▪ Once the process for this Service has been stated and agreed upon with the Client, the date of completion will be established and agreed upon, at which point the Client must pay the balance, as well as any additional expenses incurred.

▪ The Client is responsible for all suggested items for disposal post-Services as Shaped is not responsible for any lost or stolen property originally belonging to the Client

Shaped Wardrobe Refresh:

▪ The Client must pay 50% of the deposit to retain this Service before any Services are rendered.

▪ The Client is responsible for all suggested items for disposal post-Services as Shaped is not responsible for any lost or stolen property originally belonging to the Client

Shaped Sole Services:

The Client must pay the full cost of Services at the time of booking

By using this Service, the Client agrees to the following:

▪ Shoes are cleaned and returned in a timeframe specified by the Specialist, about which the Client will be informed, unless

▪ Client agrees to and pays for express service which will be 2 business days from the time of shoe collection

▪ Or next day express service, which incur additional charges and is available by Request only

▪ These timings do not apply to repairs

▪ Shoes are repaired and returned in a timeframe specified by the Specialist, about which the Client will be informed

▪ Shaped is not responsible for any lost or stolen property

Shaped Personal Shopping

▪ The Client must pay 50% of the deposit to retain this Service before any Services are rendered.

▪ Personal shopping sessions are limited to 4-5 hours per sessions; Clients who request longer appointments may incur additional charges.

▪ Clients are welcomed to join personal shopping appointments or choose instead to have a Shaped Professional oversee the appointment in the Client’s stead.

▪ Attending Clients are welcome to complimentary services, such as refreshments.

▪ Attending Clients who spend a premium amount (typically £10,000 or more) may request a chauffeur service in and around London

Shaped Bespoke

▪ The Client must pay a deposit to retain this Service. The deposit will be agreed upon between the Client and Shaped based on the extent work and materials needed.

▪ The Client must pay the balance once the sketch of the outfit is completed and agreed upon.

▪ The Client is entitled to an in-person or online consultation to gather information on the occasion for which the outfit is being made, styling preferences, including colours, materials, and other features, fitting and measurements, and concept planning for the final piece.

▪ Should the Client desire a change once the final sketch is agreed upon, they are liable for any cost incurred from any changes as well as a change in estimate time of completion.

Shaped Alterations

▪ The Client may make appropriate alterations to an existing garment already purchased prior to securing Shaped’s Services.

▪ The price of alteration and estimated time of completion will depend on the extent of work, materials, and other considerations based on the Client and Shaped.

▪ A deposit will be agreed upon based on the point above and must be paid to retain this Service

▪ The balance must be paid before the final garment is returned to the Client

▪ Tailor will make adjustment to the garment at the directive of the Client, and can hand delivered at the Client’s request

▪ Shaped is not responsible for any lost or stolen property

Shaped Gift Services

▪ The Client must agree to pay a fixed rate of £80 per hour for the gift shopping services to plus the cost of goods as well 20% sourcing fee placed on any items procured for the client

▪ The Client is entitled to an initial consultation in which the Client and Shaped gather information needed to procure items, concept plan to align the gift the recipient’s tastes, and complete Our gift order form.

▪ Once the final gift assignment is agreed upon between the Client and Shaped, Shaped assume full responsibility for the gift procurement process.

▪ Should the Client desire a change once the final gift assignment is agreed upon, they are liable for any cost incurred from any changes as well as a change in estimate time of completion.

Initial Consultations for all applicable services as it pertains to new clients:

▪ A Shaped professional will take measurements of the Client, assess the Client’s wardrobe to determine areas of improvement, and collect other relevant information about Client’s style preferences (see the descriptions of Shaped Wardrobe Fit, Shaped Personal Shopping, Shaped Wardrobe Refresh, and Shaped Bespoke on the main site for further details).

▪ The Client agrees to pay £120 for the initial consultation, irrespective the Client’s intention to proceed with any applicable services, which will incur additional fees as outlined under the relevant Services above.

▪ The initial consultation fee must be paid in full upon booking.

PLACING A REQUEST

The Client may place Requests by telephone, (which does not include text messages), e-mail or in person with a Shaped professional.

Shaped, acting reasonably, reserves the right to withdraw any of the Services and/or to refuse to accept any Requests at its sole discretion.

If Shaped is unable or not obliged to deal with any Request, it will inform the Client as soon as reasonably practicable.

From time to time the procurement or provision of certain Services, Products or benefits may incur a Shaped Services fee or handling charge (of which you will be notified in advance), and in such event you hereby authorise Shaped to secure payment for any such handling charges or, alternatively, to invoice you in respect of such fees or charges.

PRODUCTS AND SERVICES PROVIDED BY SPECIALISTS

Specialists are responsible for providing you with the Services, Products and Benefits you request from us to order on your behalf from time to time. Shaped shall communicate with Specialists on your behalf unless it is more appropriate for you to contact the Specialist directly.

Specialists may impose their own terms and conditions which, in every case apply to the supply of Products and/or Services by that Specialist to you, and such terms and conditions shall be binding upon you at the time of order.

You acknowledge that the Services and/or Products are subject to availability and may change from time to time without notice.

If a specific Product or Service is not available, Shaped may offer you substitutions of a similar description and standard. You may at your sole discretion refuse acceptance of such substitute Products and/or Services and request a full refund in the event that payment has already been made to the Specialist for the unavailable Product or Service.

All descriptions of any Products, Services or Benefits on the Website that require external resources have been provided by the relevant Specialist. Shaped shall not be liable for inaccurate or misleading descriptions.

Payment for all Products and Services shall be due immediately upon acceptance of the order by the relevant Specialist.

The Client further acknowledges that for goods purchased on his or her behalf by Shaped directly from a Specialist, returns and exchanges will be subject to the terms and conditions of that Specialist and returns or exchange of goods purchased may not always be permitted. In circumstances where Shaped is asked to source a specific item for a Client, Shaped shall inform the Client of the refund and exchange policy of that Specialist in advance. Shaped shall not be liable to the Client where a Specialist does not accept the return or exchange of an item.

It shall be the Client's sole responsibility to retain all proof of return of goods to a Specialist if done independent of Shaped. We recommend returning the goods by registered delivery, or by any other similar means of ascertaining the date of the return dispatch and tracking the return.

We will inform you when we become aware that a refund of an order has been processed by a Specialist.

Where orders are delivered outside the EU, any applicable customs duties and sales taxes shall not be refundable through Shaped. It shall be the Client's sole responsibility to recover such monies. Shaped shall have no liability for any items held by any customs or border agency.

When ordering a Product or Service, you may be required to provide your Payment Method details. If you request and authorise Shaped to use your Payment in order to pay a Specialist for Products or Services, you acknowledge and agree that Shaped shall have no liability or be responsible in any way whatsoever in respect of the use of your Payment provided that Shaped acts in accordance with the instructions issued by you in relation thereof.

Our Service may contain links to third-party web sites or Services that are not owned or controlled by the Company.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or Services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or Services available on or through any such web sites or Services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party web sites or Services that You visit.

Termination

We may terminate or suspend Your access immediately, for any reason whatsoever.

Upon termination, Your right to use the Service will cease immediately and bear financial liability for any remaining balances.

Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its Specialists under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its Specialists be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any Specialist has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these jurisdictions, each party's liability will be limited to the greatest extent permitted by law.

"AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. Without limiting the foregoing, neither the Company nor any of the company's provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or Products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

Governing Law

Translation Interpretation
